¿QUÉ ESPERAR?
Tras el reconocimiento en la Ley Crea y Crece (2022) de las Sociedades de Beneficio e Interés Común (SBIC), y la publicación durante el 2023 de diferentes textos destinados a sentar las bases de su organización y reconocimiento, el despacho ético Gabeiras junto a B Lab, el IE y la Fundación Gabeiras organizan este Aula con el objetivo de analizar la situación actual de las SBIC y estudiar los próximos pasos para impulsar este modelo de empresas comprometidas.
La figura jurídica de las SBIC resulta clave en el impulso de un nuevo modelo empresarial sostenible. Estas sociedades mercantiles y, por tanto, con ánimo de lucro, tienen además el propósito de alcanzar un impacto social y/o medioambiental positivo con su actividad. Para ello, adoptan un modelo de gobernanza orientado a los grupos de interés y no solamente a sus accionistas, sometido a mayores niveles de transparencia y rendición de cuentas en el desempeño de los mencionados objetivos sociales y medioambientales.
En el encuentro Patricia Gabeiras, socia fundadora de Gabeiras, y Belén Viloria, directora ejecutiva de B Lab, presentarán esta figura jurídica y el recorrido que se ha llevado a cabo desde que en 2021 ambas entidades comenzasen a impulsar el reconocimiento de las SBIC, colaborando con otros agentes del sector para sentar las bases de su funcionamiento y del futuro reglamento. Por otro lado, desde la academia, Conchita Galdón, Vicedecana de empresas con propósito en IE Business School y Directora del Centro de IE para la Innovación Social y Sostenibilidad (IE University), en muestra del apoyo del IE a este modelo empresarial presentará la propuesta de generar un SBICLab que funcione como red y punto de encuentro entre los actores interesados. Posteriormente se dará lugar a un debate entre todos los asistentes en el que seguir reflexionando y resolviendo las posibles dudas o inquietudes que despierta esta figura jurídica para cerrar el Aula con algunas conclusiones que permitan seguir avanzando hacia una sociedad más sostenible.
¿DE DÓNDE VENIMOS?
En 2022, se presentó en el Congreso de los Diputados la propuesta de una nueva modalidad jurídica, las Sociedades de Beneficio e Interés Común (SBIC), que reconoce a las empresas que generan valor social y ambiental, más allá del económico. Más de 30.000 personas y 400 organizaciones apoyaron esta solicitud. Además, 50 personalidades firmaron el Manifiesto de las Empresas Con Propósito.
Gracias a todas las personas que apoyaron esta iniciativa, las SBIC fueron reconocidas en el marco de la Ley de creación y crecimiento empresarial. A la espera del desarrollo reglamentario de las SBIC, se ha elaborado un Código de Buenas Prácticas de las Sociedades de Beneficio e Interés Común, un Modelo de Estatutos para las SBIC y una Guía orientativa de las especialidades de los estatutos sociales de las SBIC publicada por el Colegio de Registradores, que permite disponer de unos principios y recomendaciones para inscribirse como SBIC.

WHAT TO EXPECT?
After the recognition in the Create and Grow Law (2022) of the Benefit and Common Interest Companies (SBIC), and the publication during 2023 of different texts intended to lay the foundations for their organization and recognition, the Gabeiras ethical office together with B Lab, IE and the Gabeiras Foundation organize this Classroom with the aim of analyzing the current situation of SBICs and studying the next steps to promote this model of committed companies.
The legal figure of SBICs is key in promoting a new sustainable business model. These commercial companies, and therefore for-profit, also have the purpose of achieving a positive social and/or environmental impact with their activity. To achieve this, they adopt a governance model oriented towards interest groups and not only their shareholders, subject to higher levels of transparency and accountability in the performance of the aforementioned social and environmental objectives.
At the meeting, Patricia Gabeiras, founding partner of Gabeiras , and Belén Viloria, executive director of B Lab, will present this legal figure and the journey that has been carried out since in 2021 both entities began to promote the recognition of SBICs, collaborating with other agents in the sector to lay the foundations for its operation and future regulations. On the other hand, from the academy, Conchita Galdón, Vice Dean of Purpose-Driven Companies at IE Business School and Director of the IE Center for Social Innovation and Sustainability (IE University), will present the proposal as a demonstration of IE’s support for this business model. to generate a SBICLab that functions as a network and meeting point between interested actors. Subsequently, a debate will take place among all attendees in which they will continue reflecting and resolving any possible doubts or concerns that this legal figure raises to close the Classroom with some conclusions that will allow us to continue moving towards a more sustainable society.
WHERE WE COME FROM?
In 2022, the proposal for a new legal modality, Common Benefit and Interest Companies (SBIC), was presented in the Congress of Deputies , which recognizes companies that generate social and environmental value, beyond economic value. More than 30,000 people and 400 organizations supported this request. In addition, 50 personalities signed the Purpose Driven Companies Manifesto.
Thanks to all the people who supported this initiative, the SBICs were recognized within the framework of the Business Creation and Growth Law. Pending the regulatory development of the SBICs, a Code of Good Practices for Benefit and Common Interest Companies , a Model of Statutes for the SBICs and an Orientative Guide to the specialties of the social statutes of the SBICs published by the College of Registrars, which provides principles and recommendations for registering as SBIC.
